1. Introduction

Welcome to Glowgent! These Terms and Conditions ("Terms") govern your access to and use of Glowgent's platform, website, mobile application, and related services (collectively, the "Services"). Glowgent Inc. ("Glowgent," "we," "us," or "our") offers an AI-powered wellness and self-improvement platform for both individual consumers and business clients. By accessing or using the Services, you ("you" or "User") agree to be bound by these Terms, as well as our Privacy Policy (incorporated herein by reference). If you do not agree with any part of these Terms, do not use the Services. These Terms apply to all users, including individual consumer users and business clients (organizations). We are based in the United States and currently target the U.S. market for our Services (with plans for future international support).

2. Definitions

For purposes of these Terms, the following definitions apply:

  • "Services" – The Glowgent platform, mobile app, website, AI wellness coaching services, "Glow Rooms," expert sessions, community forums, and all other features, functionalities, and offerings provided by Glowgent.
  • "Consumer User" (or "Individual User") – An individual person who uses Glowgent for personal wellness and self-improvement.
  • "Business Client" (or "Organization") – A company, clinic, team, or other organization that uses Glowgent to create a branded community or offer wellness services to its members, employees, or clients. This includes their authorized administrators and any expert service providers using the platform under the organization's account.
  • "Glow Rooms" – Private group wellness spaces (up to 8 participants) on the Glowgent platform, guided by Glowgent's AI "squad" and tools. Glow Rooms enable users to engage in challenges, share progress, and even participate in private sessions with experts in a small-group setting.
  • "Expert Sessions" – Live or virtual sessions, consultations, or classes offered through the Services by third-party wellness experts, coaches, or therapists (who may be independent or affiliated with Business Clients).
  • "Self-Mirroring Agent" – An AI-driven personal assistant feature of Glowgent that reflects a user's inputs (such as journals or statements) back to them to provide insight, pattern recognition, or guided self-reflection.
  • "Adaptive AI Modules" – Specialized AI features that adapt to user data and behaviors (for example, personalized habit coaching, mood analysis, or content moderation), including gender-specific wellness modules, nutrition and fitness planning tools, and other customizable AI-driven components.
  • "User Content" – Any content that users (including both individual and business users, as well as their end-users) submit, post, upload, or otherwise make available on the Services, including text, images, videos, profiles, posts in communities, and feedback.
  • "Subscription" – A recurring payment plan for paid access to certain premium features of the Services.

Any other capitalized terms not defined above shall have the meaning given to them in the context of these Terms.

3. Eligibility and Accounts

3.1 Eligibility Requirements

You must be at least 13 years old (or the age of digital consent in your country, if higher) to use the Services. If you are under 18, you affirm that you have the consent of a parent or legal guardian to use Glowgent and to accept these Terms. If you are using the Services on behalf of a company or other organization, you represent that you have the authority to bind that entity to these Terms, and "you" as used in these Terms will refer to both you as an individual and the entity. Glowgent is intended primarily for users in the United States. Users outside the U.S. may use the Services where available, but are responsible for ensuring their use is lawful in their jurisdiction (see Section 17 on International Use).

3.2 Account Registration

To access many features of Glowgent, you will need to create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information (such as your name, email, and other sign-up details).
  • Keep your login credentials secure and confidential. You must not share your account with others. You are responsible for all activity that occurs under your account.
  • Update your account information as needed to maintain its accuracy.

3.3 Account Security

You agree to notify us immediately at hello@glowgent.com if you suspect any unauthorized access to or use of your account or credentials. Glowgent is not liable for any loss or damage arising from your failure to safeguard your account information. You are responsible for maintaining the confidentiality of your password and for all actions taken through your account.

3.4 Business Accounts

If you are a Business Client, an administrator account will be created for your organization. You may then invite or manage individual users (such as employees, patients, or clients) within your branded community. As a Business Client, you are responsible for ensuring that all users you invite or allow into your Glowgent community (a) meet the eligibility requirements, and (b) comply with these Terms and any additional community guidelines you establish. You must promptly remove or report any user in your community who violates the Terms. Glowgent reserves the right to require verification of your business or professional credentials (for example, if you are a licensed coach or clinic) before granting certain business-level features or privileges.

4. Description of Services

4.1 Services for Individual Consumers

Glowgent provides a comprehensive AI-driven wellness and self-improvement experience for individual users. Key features of the Services for consumers include:

  • AI-Powered Wellness Coaching: Personalized guidance through an AI coach that learns about your goals (e.g. fitness, mental health, skincare, sleep, etc.) and provides tailored recommendations, reminders, and encouragement. The AI coach can assist with habit formation, goal tracking, and general wellness advice in real-time.
  • Personalized Routines and Planners: Tools to create and follow daily routines for nutrition, fitness, skincare, mental wellness, and more. This includes meal plans, workout plans, hydration and sleep tracking, and other nutrition and fitness planners that adapt to your progress.
  • 3D Avatar & Self-Mirroring Agents: Interactive visuals and agents that reflect your wellness journey. For example, a 3D avatar health visual that changes based on your logged activities (showing improvements in posture, skin glow, etc.), and self-mirroring AI agents that echo your thoughts (like journal entries or mood logs) back to you with analysis to help you gain insight into your habits and feelings.
  • Gender-Specific Health Tracking: Period tracking for women's health, men's health insights, and other gender-aware modules. These features allow tracking of hormonal cycles, mood swings, or other gender-specific health data to provide personalized insights and tips. (All health tracking data is kept private to you by default and handled per our Privacy Policy.)
  • Glow Rooms (Social Wellness Spaces): Glow Rooms are invite-only group spaces (up to 8 members) where you can engage in guided wellness challenges and group activities. In a Glow Room, an AI facilitator ("AI squad") provides structure, such as daily prompts or challenges, and members can share their progress, post updates, and encourage each other. Glow Rooms combine social support with AI guidance, and often focus on specific themes (e.g. "Mindful Morning Crew" for morning routines, or "Workout Warriors" for exercise motivation). You may join Glow Rooms created by Glowgent or by community members, or purchase access to special Glow Rooms (see Section 5 on pricing for Glow Rooms).
  • Expert Sessions and Community Access: Through Glowgent, you may access expert-led sessions – for example, live video or chat sessions with wellness coaches, therapists, nutritionists, or fitness trainers. These experts may host group webinars, Q&As in Glow Rooms, or one-on-one coaching sessions. (Note: Experts on the platform are typically third parties, not employees of Glowgent, and separate terms may apply to any services they provide; see Sections 10 and 12). Additionally, Glowgent features community forums and posting features where you can share tips, ask questions, and interact with a broader community of users interested in wellness topics.
  • Adaptive AI Modules: Glowgent's AI features adapt over time. The platform includes various modules (for stress management, time management, skin analysis, etc.) that use your input data. For example, Glowgent can perform skin analysis via your camera and recommend skincare routines or products; it can run burnout checks by asking you periodic questions about your mood and energy to gauge if you're at risk of burnout; it can analyze your screen time or digital habits to give productivity tips. These adaptive AI modules continuously update their suggestions based on your progress and feedback, aiming to provide ever more personalized and relevant coaching.

Glowgent's consumer Services are designed to support and inspire your wellness journey. However, Glowgent is not a medical or healthcare provider (see the Disclaimers in Section 12). All information and coaching provided is for general wellness purposes and is not a substitute for professional medical advice or treatment.

4.2 Services for Business Clients

Glowgent also offers a suite of features tailored for businesses, clinics, educational institutions, and other organizations that want to promote wellness among their members or offer digital wellness services:

  • Branded Wellness Communities: As a Business Client, you can establish a dedicated branded community on Glowgent's platform. This includes a custom space (akin to a private social network or Slack-style workspace) branded with your organization's name/logo, where your members (employees, students, patients, clients, etc.) can engage in wellness activities and discussions privately. You can categorize your community into subgroups or private community rooms (for example, different departments or teams, or specific topics) with their own discussion feeds and Glow Rooms.
  • Domain-Specific AI Modules: Glowgent can provide specialized modules and content tuned to your domain. For instance, a clinic or healthcare provider might use modules focused on patient health tracking and post-visit follow-ups; an HR team might use stress management, work-life balance, and productivity enhancement modules for employees; professional coaches or therapists could integrate their own methodologies with Glowgent's AI coaching. These domain-specific modules allow Business Clients to deliver relevant wellness content and AI-driven insights that align with their field.
  • Team Wellbeing and Productivity Tools: Business Clients have access to tools that help monitor and encourage group wellbeing. Examples include aggregated wellness analytics dashboards (to see overall engagement or common stress indicators in your organization without exposing individual personal data), periodic burnout checks or surveys for your team, and productivity tools like focus session scheduling or group challenges to improve healthy work habits. These tools are designed with privacy in mind (individual health metrics are typically anonymized or only shared with consent), giving organizations a high-level view of their community's wellness and areas of need.
  • Expert-Led Programs and Monetization: If you are a Business Client that provides wellness services (e.g. a coaching company, a fitness studio, a mental health clinic), Glowgent enables you to run expert-led programs through the platform. You can host workshops, classes, or one-on-one sessions for your community's members or even open them to the public. Glowgent provides scheduling, booking, and payment tools so that you can charge for these private sessions or programs. In such cases, Glowgent will facilitate the transactions and retain a commission (see Section 5.2 for pricing). This allows coaches and experts to monetize their services on the platform while Glowgent handles the tech infrastructure and secure payment processing.
  • Moderation and Control: As a Business Client admin, you have certain moderation controls over your branded community (such as the ability to set community rules, moderate posts by your members, and manage membership). Glowgent's AI moderation features also assist by automatically scanning content for violations of guidelines or sensitive information, helping maintain a safe environment (see Section 8 on content moderation). Business Clients are expected to uphold Glowgent's community standards within their communities and ensure any content or advice provided is appropriate and lawful.

All Business Client features are provided in addition to the core platform features available to individual users. Business Clients and their authorized users must abide by all provisions of these Terms. In case of any conflict between general Terms and this Section 4.2 for business use, this section and Section 10 (Business Terms) will govern for business-related issues.

4.3 Modifications to Services

Glowgent is an evolving platform, and we continually improve and update our Services. We reserve the right to modify, add, suspend, or discontinue any aspect of the Services (including particular features or the availability of the platform in certain regions) at any time. We may also impose limits on certain features or restrict access to parts or all of the Services without notice or liability. We will endeavor to inform users (via in-app notification, email, or our website) of major changes to the Services or any discontinuation that significantly affects use. Your continued use of the Services after modifications have been made constitutes your acceptance of those changes. If you do not agree with a change, you should stop using the Services and, if applicable, cancel any subscription per Section 6.

5. Pricing and Payment

5.1 Consumer Subscription and Fees

Glowgent offers a premium subscription for individual users, along with optional paid features, as follows:

  • Monthly Subscription ($25/month): Individual users can subscribe to Glowgent's premium plan for USD $25 per month. This subscription provides full access to AI-powered coaching and all core wellness features, including the personalized AI coach, unlimited routine and planner usage, 3D avatar and adaptive AI modules, and participation in standard Glow Rooms and community features. The subscription fee is charged monthly (every 30 days) and is auto-renewing by default (see Section 6.1 on Auto-Renewal).
  • Glow Room One-Time Purchase ($10 each): Certain specialized Glow Rooms or group experiences may require a one-time purchase to access. For example, a premium 8-week guided program in a Glow Room led by a renowned coach, or an exclusive small-group session, might be offered for a one-time fee of USD $10 (per room or program). This fee is not a subscription; it grants you access to that specific Glow Room or program for its duration. Once purchased, you remain a member of that Glow Room for as long as it runs (or indefinitely for permanent groups, as applicable) without recurring charges. Note: Many Glow Rooms are included in the subscription or are free community groups, but this fee applies to special or premium rooms as clearly indicated in the app.
  • Credits for Extra AI Usage: Glowgent's subscription is designed to cover typical usage of the AI coach and features. In the event you exceed the included usage (for instance, an extremely high number of AI queries or analysis requests beyond normal personal use), you have the option to purchase additional credits to continue using those AI features that month. The app will inform you if you are nearing the limit and offer options to buy credits (for example, $5 for a pack of X additional AI interactions). Purchasing credits is entirely optional and only necessary for power-users who go beyond the fair use limits of the base subscription. Unused purchased credits may expire after a certain period (which will be communicated at purchase) if not used, and are not refundable (except as required under the 7-day refund policy or applicable law).
  • Free Trials and Promotions: Glowgent may offer new users a free trial period (for example, a 3-month free trial as a promotional offer) or other promotional discounts. Such trials or offers are subject to these Terms as well. If you are in a free trial, you will not be charged until the trial period ends. Unless you cancel before the trial ends, your subscription will automatically convert to a paid subscription and the monthly $25 fee will be charged. We will notify you of key terms of any trial (such as duration and how to cancel) when you sign up. Promotions and pricing may change, but once you are subscribed, your price will remain the same until changed per Section 5.3 or unless you cancel and re-subscribe later at a new price.

5.2 Business Plans and Fees

For Business Clients (organizations), Glowgent offers enterprise-level services under the following pricing model:

  • Branded Community Subscription ($250/month per community): A Business Client pays USD $250 per month for each branded community they operate on Glowgent. This monthly subscription allows the organization to host an unlimited number of members (up to any technical or fair use limits we may impose for performance), create multiple Glow Rooms and sub-groups, access the business-specific features (as described in Section 4.2), and utilize Glowgent's platform for their team or clients. If an organization requires multiple separate communities (e.g., a company with separate divisions wanting isolated communities, or a franchise running distinct communities for each location), each community space would generally be billed separately at $250/month. Glowgent will bill this on a monthly recurring basis, unless otherwise agreed (some enterprise clients might arrange annual billing or custom plans by separate agreement).
  • Commission on Paid Sessions (15%): If a Business Client or its affiliated experts use Glowgent to offer paid sessions or programs (for example, a paid one-on-one coaching session, a paid group workshop, or a subscription program for members that is facilitated via Glowgent), Glowgent will retain a 15% commission on the gross amount of those transactions. The remaining 85% of the revenue is passed on to the Business Client or the expert (as per the arrangement between them). This commission covers Glowgent's payment processing fees, platform usage, and support. For example, if a coach within your community hosts a private session for $100, Glowgent would collect the $100 from the participant, keep $15 as the platform fee, and distribute $85 to the coach or organization as applicable. Distribution of earnings (payouts) to Business Clients or experts will typically occur through the platform's payment processor on a regular schedule (e.g., payouts could be done weekly or monthly, subject to any minimum thresholds and after any refund periods have passed). Business Clients are responsible for any taxes or obligations related to the income they earn; Glowgent only facilitates the payment.
  • Other Fees: Generally, the above cover the core costs. There are currently no setup fees or per-user fees beyond the $250/month per community subscription. However, certain add-on enterprise features or custom integrations (if offered) might involve additional costs, which would be communicated and agreed upon separately. Glowgent reserves the right to negotiate custom pricing with certain enterprise clients, in which case those terms would be documented in a separate written agreement. In absence of such an agreement, these standard fees apply.

5.3 Payment Terms and Billing

By signing up for a paid plan or making a purchase, you agree to the following payment terms:

  • Payment Method: You must provide a valid payment method (e.g., credit card, debit card, or other accepted payment instrument) when subscribing or purchasing any paid Service. You authorize Glowgent and its authorized payment processors to charge your provided payment method for all fees as they become due, including recurring subscription fees and one-time purchase fees.
  • Billing Cycle: Subscription fees (consumer $25/month or business $250/month per community) are billed in advance on a recurring monthly cycle. The first charge occurs on the date you start the subscription (after any free trial ends), and subsequent charges occur on the same day each month (or the last day of shorter months if applicable). One-time fees (like Glow Room access or credits packs) are charged at the time of purchase. Commission fees on sessions are deducted at the time of transaction (the user paying for the session is charged the full amount, and Glowgent's commission is retained automatically).
  • Currency and Taxes: All prices are stated in U.S. Dollars (USD). If you are required to pay in another currency, it will be converted at the applicable rates by your bank or our payment processor. Prices generally do not include any applicable taxes (such as sales tax or VAT). If any such taxes are required by law, they may be added at checkout or you are responsible for remitting them as required. We will clearly display or notify you of any additional taxes or charges before finalizing a payment.
  • Changes to Fees: Glowgent may modify its fees or introduce new fees in the future (for example, adjusting the monthly subscription price or commission rate). If we do so, and you are a subscriber, we will give you advance notice of the change (e.g., by email or in-app notification at least 30 days prior to the change). Fee changes will typically take effect at the start of the next billing cycle after the notice period. If you do not agree to a fee change, you may cancel your subscription before the new fee is applied (see Section 6.2 on Cancellation). Continued use of the Services after the fee change takes effect constitutes your agreement to pay the new fee.
  • Third-Party Payment Processing: Payments are processed by third-party payment providers (for example, Stripe, the Apple App Store, Google Play, or others, depending on how you subscribed). All payment information you provide is encrypted and handled securely by these processors. Glowgent itself does not store your full credit card number or banking details. Your use of a third-party payment platform may also be subject to additional terms of that platform. Glowgent is not responsible for errors or security breaches by the payment processor, but we will work to resolve any payment issues to the best of our ability.
  • Failed Payments: If a subscription payment fails (e.g., due to an expired or declined card), we will attempt to notify you and may retry the charge. If payment remains unsuccessful, we may suspend or downgrade your account (e.g., revert a paid account to a free limited access) until the issue is resolved. For Business Clients, failure to pay the subscription fee may result in your community being temporarily suspended or eventually terminated (after notice) for non-payment. It is your responsibility to keep your billing information current and to pay all fees due.

6. Auto-Renewal, Cancellation, and Refunds

6.1 Automatic Renewal

Auto-Renewing Subscriptions: All subscription plans (consumer and business) automatically renew at the end of each billing period (monthly, unless otherwise specified) unless and until you cancel. This means that, at the end of each subscription period, your payment method will automatically be charged for the next period's fee. For example, if you subscribe on January 10 for a monthly plan, your subscription will renew (and charge your card) on February 10, March 10, and so on until cancelled. Auto-renewal is aimed at ensuring uninterrupted access to the Services.

Notification of Renewal: We may send a reminder of upcoming renewal charges, especially for longer-term or annual plans or if there's a significant price change on renewal. However, it is ultimately your responsibility to monitor your renewal dates.

Opting Out of Auto-Renewal: If you do not want your subscription to auto-renew, you must cancel the subscription before the next billing date (see Cancellation below). Business Clients who wish to not renew should also provide notice of cancellation prior to the renewal date to avoid being charged for the next period. If you cancel auto-renewal, your access will continue for the remainder of the period you've paid for, and then the subscription will end.

6.2 Cancellation

Cancellation by Consumer Users: You may cancel your Glowgent subscription at any time. Cancellation can be done through your account settings in the app/website or by contacting our support team at hello@glowgent.com. If you subscribed via a mobile app store (Apple App Store, Google Play), you may need to cancel through that platform's subscription management. When you cancel, you will continue to have access to premium features until the end of the current billing period that you already paid for. After that, your account may be downgraded to a free/basic access (or deactivated if you choose) and you will not be charged going forward. To avoid being charged for the next period, make sure to cancel at least 24 hours before your renewal date (to account for processing time).

Cancellation by Business Clients: To cancel a Business (branded community) subscription, an authorized administrator must provide notice of cancellation either through any provided admin dashboard function or by contacting Glowgent's account management. Your community subscription will remain active through the end of the paid month and will not renew thereafter. It is recommended that Business Clients export or save any needed data prior to the end of the term if they intend to discontinue service (Glowgent can assist with reasonable data export requests). Upon the end of the subscription, access for all members of the business community will be revoked or converted to regular consumer accounts (with no access to the private business community data).

Effect of Cancellation: Once your paid subscription ends (whether by cancellation or non-renewal), you will lose access to subscriber-only features: e.g., the AI personal coach beyond free limits, premium Glow Rooms, etc. Your account will revert to a free tier (if available) or be scheduled for deletion if you choose to delete your account entirely. One-time purchases (like a paid Glow Room access) typically remain accessible to you even after your main subscription is cancelled, since they are not recurring (for example, if you bought access to a special Glow Room, you keep that access). However, if you delete your account entirely, you will of course lose access to everything (Glowgent does not keep an account active just for purchased content if you choose to fully delete your profile).

Glowgent's Right to Cancellation: In addition to your right to cancel, Glowgent reserves the right to discontinue or cancel subscriptions for users or Business Clients, for example if we decide to stop offering the Service in a certain region or entirely. If we cancel your subscription without cause (not due to your breach of terms), we will provide a pro-rata refund for the remaining period that was paid. If cancellation is due to your breach of these Terms or misuse of the Service, no refund will be provided for unused time (and we may terminate your access immediately, per Section 15). We will make reasonable efforts to inform you if we ever need to cancel your subscription on our end.

6.3 Refund Policy

Glowgent wants you to have a great experience. While we believe you will love our Services, if for any reason you are not satisfied, we offer a 7-day refund policy for certain purchases:

  • 7-Day Money-Back Guarantee (Subscriptions): If you are a new subscriber or if your subscription just renewed, and you find within the first 7 days that you are not happy with Glowgent, you may request a full refund of that subscription charge. This applies to both the initial purchase of a subscription and each renewal cycle. For example, if your monthly plan renewed and you forgot to cancel or did not wish to continue, you have up to 7 days after the charge to contact us for a refund. We understand life gets busy, so we allow this grace period. However, abuse of this policy (for example, repeatedly subscribing and refunding) may result in being ineligible for future refunds.
  • 7-Day Refund on One-Time Purchases: Similarly, if you paid for a one-time service like a Glow Room access or a credit pack and are dissatisfied or changed your mind, you can request a refund within 7 days of purchase. We will typically honor the refund as long as the service wasn't fully utilized (e.g., if the Glow Room program already concluded or you consumed all purchased credits, refunds might be handled case-by-case).
  • How to Request a Refund: To request a refund, contact our support at hello@glowgent.com (or through the app's help section) within 7 days of the charge. Please include the account email and the purchase details. If you purchased through Apple or Google app stores, note that those platforms often handle refunds directly, so you may need to request through the App Store/Play Store. We will guide you on the process.
  • Refund Processing: Approved refunds will be credited back to the original payment method. Please allow a reasonable time for the refund to process (typically 5–10 business days, depending on the bank or platform). If the original payment method is no longer available (e.g., card canceled), inform us, and we'll work with you on an alternative.
  • No Refund After 7 Days: Except as required by law or as outlined above, we do not offer refunds for charges older than 7 days. Partial refunds or pro-rated refunds for mid-period cancellation are generally not provided (you simply retain access for the full period you paid). The 7-day policy essentially gives you a window to undo a charge you didn't want or to try the service risk-free for a short time. After that window, all sales are final for that period.

This refund policy does not limit any rights you may have under consumer protection laws. If applicable law in your jurisdiction provides for cancellation or refunds beyond our policy (for example, certain jurisdictions might mandate a longer cancellation period for online sales), Glowgent will abide by those laws.

7. Community Guidelines and User Conduct

We are committed to maintaining a positive, safe, and respectful community. By using Glowgent, you agree to adhere to the following community behavior guidelines and rules of conduct:

7.1 Prohibited Conduct

You must not engage in any of the following activities or behaviors on the Services:

  • Harassment or Hate: Do not harass, bully, or threaten other users. Avoid hate speech or discriminatory language targeting anyone based on race, ethnicity, national origin, gender, gender identity, sexual orientation, religion, age, or disability. We have zero tolerance for hate or abusive conduct.
  • Illegal or Unauthorized Use: Do not use the Services for any unlawful purpose or in violation of any local, state, national, or international law or regulation. This includes not using Glowgent to promote or facilitate criminal activities. Do not use Glowgent if it is illegal to do so in your region.
  • Disruption and Interference: Do not use the Services in a way that could interfere with, disrupt, or negatively affect the experience of other users. This means no spamming (unsolicited advertising or self-promotion), no flooding chats or forums with repetitive content, and no attempts to sabotage or overload the platform (such as transmitting viruses, worms, or harmful code).
  • Unauthorized Access: Do not attempt to hack, reverse engineer, decrypt, or otherwise compromise the integrity or security of the Services. This includes not attempting to bypass any content filtering or security measures we have in place, and not trying to access accounts or data that you are not authorized to access.
  • Impersonation and Misrepresentation: Do not impersonate any person or entity, or falsely claim an affiliation with any person or organization. For example, do not pretend to be a Glowgent staff member or another user. Also, do not misrepresent your identity (though using a nickname or handle is fine, just don't try to deceive others about who you are).
  • Personal Data Mining: Do not collect, scrape, or harvest personally identifiable information of other users without their consent. Respect everyone's privacy. Also, do not distribute anyone else's personal information (such as addresses, phone numbers, health data, etc.) through the Services.
  • Malicious Code: Do not upload or transmit any malware, spyware, adware, or other harmful software or code. This includes avoiding posting links to malicious sites.
  • Unsolicited Advertising: No posting of unauthorized advertisements, solicitations, or promotional materials. Glowgent is not a place for MLM promotions, unrelated product ads, or excessive self-promotion. If you have something genuinely helpful to share, do so in moderation and in accordance with community guidelines. Business Clients and experts may share offerings in appropriate channels, but must still not spam users.
  • Medical or Professional Advice: Unless you are a qualified and licensed professional (e.g., a doctor, therapist, or certified coach) and have permission to provide such advice on Glowgent, do not give medical, psychological, or other professional advice to other users. Users seeking advice should consult professionals; our platform is for wellness tips and peer support, not for diagnosing or treating medical conditions by unqualified individuals.
  • No Unauthorized Medical Practice: Expanding on the above, do not use Glowgent to engage in the practice of medicine or counseling without proper licensing. For example, if you are a user, you should not present yourself as a doctor to give prescriptions. If you are a licensed professional using Glowgent, ensure you only practice within your scope and follow all applicable laws (and note that Glowgent is not a covered entity under HIPAA unless otherwise specified, so certain medical uses may not be appropriate on the platform).

Any behavior that falls under the above prohibited categories can result in content removal, warnings, account suspension, or termination (see Section 15).

7.2 Community Participation Guidelines

In addition to avoiding the "don'ts" above, we encourage positive participation. When engaging with others on Glowgent (in forums, Glow Rooms, comments, etc.), please keep these guidelines in mind:

  • Be Respectful and Supportive: Glowgent is about wellness and self-improvement. Encourage others, celebrate their progress, and be kind. Even if you disagree with someone, critique ideas constructively and without personal attacks.
  • Stay On-Topic: Many Glow Rooms or community threads have specific themes. Try to keep contributions relevant to the topic or purpose of that room or thread. Off-topic posts may be removed to keep discussions useful for everyone.
  • No Obscene or Inappropriate Content: Do not post content that is pornographic, extremely violent, or otherwise not suitable for a wellness community that may include teens 13+. Avoid overly graphic descriptions that are not necessary, and absolutely no sexual content directed at minors or any form of child exploitation (which will be reported to authorities).
  • No Self-Harm Encouragement: While we encourage open discussion about mental health, do not encourage self-harm or suicide, and do not bully someone who is expressing emotional distress. If you or someone else is in crisis, seek professional help immediately (Glowgent is not equipped to handle crises — see Disclaimers in Section 12.2). We may remove content that appears to encourage self-harm or is graphically self-harmful.
  • Respect Privacy: Only share your own stories or information. Do not post personal data (e.g. full names, contact info, health details) of someone else without permission. If you are discussing your experience with someone (like a friend or third party), don't reveal their identity or private details.
  • Follow Moderation Directions: Glowgent staff or appointed community moderators (including Business Client moderators in their communities) may issue warnings or instructions (for example, asking to tone down language, or move a conversation to a different room). Please cooperate and understand that these measures are to keep the community healthy.

Moderation Policy: Glowgent uses a combination of automated tools (including AI) and human moderators to oversee community content. All user-generated content must comply with these Terms and our guidelines. We reserve the right (but do not assume an obligation) to monitor any activity and content on the platform. If any content violates the letter or spirit of these guidelines or otherwise may harm Glowgent or our users, we may remove or restrict access to that content. In most cases, minor first-time issues will result in a warning, whereas serious violations (e.g. posting hate speech, explicit sexual content, scams, etc.) can result in immediate content removal or account suspension. Repeated or egregious violations will lead to termination of your account (Section 15) and possible reporting to law enforcement if laws are broken.

Glowgent also empowers users to help maintain the community standards: you can report content or behavior that you believe violates these Terms using in-app reporting tools or by contacting support. We will review reports and take appropriate action. While we strive to enforce rules consistently, we reserve sole discretion in how we enforce these Terms and guidelines. Our decisions are made to protect our community and platform integrity.

8. User Content and Intellectual Property

8.1 Your Content Ownership

Glowgent allows users to create profiles, post content in communities, log health data, and otherwise contribute content. You retain ownership of all User Content that you create or submit on the Services. This means if you write a post, upload a photo, or provide any original material, it remains yours. Glowgent does not claim ownership of your personal posts, journals, or other content you provide.

However, by submitting User Content, you are granting Glowgent certain rights to use that content as described below. Aside from those rights, you are solely responsible for and own your User Content. Make sure you only post content that you have the right to share. If you post someone else's content or something you don't have permission to use, you could be liable for that (and you agree to indemnify Glowgent for any claims, per Section 14).

8.2 License to Glowgent

In order for Glowgent to operate the platform (and showcase content where appropriate), we need a license from you to use your content. By posting or sharing User Content through the Services, you grant Glowgent a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display your User Content in connection with providing and improving the Services.

What does this mean in practice? It means, for example, we have your permission to: display your posts to other users in a Glow Room, show your comments or reviews to others as part of the community forum, use your input to personalize your experience (e.g., using your logged data to generate charts or recommendations for you), and if you make a public post (in a public community), we might feature it or use it in Glowgent marketing materials (we would likely ask additionally in that case, but this license covers the possibility). We will not sell your personal User Content to third parties, and our use of your content is primarily for operating the platform.

This license ends when you remove or delete your User Content from the Services. For content you delete, we will cease its public or active use; however, you understand that (a) removed content may persist in backup copies for a reasonable period (though not visible to others), and (b) if you shared content with others (for example, you posted in a community and others quoted or reshared it), it may remain visible to those users unless they also delete it. Glowgent is not responsible for content that other users have retained or shared from your posts.

Additionally, any feedback or suggestions you give us (Section 11.3) is handled separately and may be used by Glowgent freely without any obligation to you.

8.3 Content Restrictions

You represent and warrant that your User Content and your use of the Services will not violate any of the following:

  • Intellectual Property Rights: You will not post content that infringes another party's copyright, trademark, patent, trade secret, or other intellectual property rights. Only upload content (text, images, videos, etc.) that you created or have permission to use. For example, do not copy-paste articles or upload images from the internet unless you are sure they are free to use or you have the rights.
  • Privacy and Publicity Rights: Do not share content that violates another person's privacy or publicity rights. This includes private information about others (address, health information, personal stories that are not yours to tell) without consent, as well as using someone's likeness or name for commercial purposes without permission.
  • Law and Regulation: Your content must not violate any applicable law or regulation. For instance, you cannot post illegal drug sales, content promoting violence or terrorism, or anything that would be illegal to create or distribute.
  • Objectionable Content: Do not post content that is obscene, defamatory (untrue statements harming someone's reputation), libelous, harassing, hateful, or discriminatory. Content that is extremely graphic or explicit is likely not allowed (especially if it has no wellness context). Use discretion and err on the side of caution and respect.
  • Medical Advice Content: As noted, if your content contains medical, nutritional, or psychological advice or information, you must be properly qualified and licensed to provide such advice. For example, a licensed dietitian might share nutritional tips in a community—this is fine if done within their scope. But an unqualified person should not present advice as if they are a professional. And even if you are a professional, any advice you share should be general and not one-on-one medical advice within Glowgent (unless in a designated expert session context that complies with professional standards).
  • Malicious or Misleading Content: Do not share content that contains malicious code, or that is intentionally misleading (such as disinformation, scams, phishing attempts). Content should be in good faith. If you're sharing an opinion, that's fine—just don't present false information as factual in a way that could harm others (e.g., claiming a dangerous fad diet is a "sure cure" for something).

We reserve the right to request verification of qualifications for those posting professional advice (for example, asking an account to prove they are a certified trainer if they are regularly giving detailed workout plans as an "expert" in communities).

8.4 Content Monitoring and Enforcement

Glowgent is not obligated to pre-screen or monitor User Content, but we have the right to do so for the purpose of operating the platform, to ensure compliance with these Terms, and to enforce our guidelines. Our moderation systems (human and AI) may scan posts for prohibited content (such as hate speech or personal data leaks). We also rely on user reports.

Removal of Content: Glowgent may remove, edit, or restrict access to any User Content that we believe, in our sole discretion, violates these Terms or is otherwise objectionable. This could include deleting a post, blurring an image (for example, if it's potentially sensitive content with a warning), or restricting a certain community's visibility. We may do so with or without notifying you, depending on the situation. Generally, we try to notify users if their content was removed and why, but in urgent cases or clear-cut violations we may act immediately.

Community Moderators: In branded communities run by Business Clients, those clients may have their own moderators who can manage content within their community (remove posts, etc.). Those moderators must still abide by Glowgent's overall policies. If a business moderator removes your content and you feel it was unfair, you can contact that community's admin or Glowgent support for review.

No Endorsement: Any User Content available on Glowgent (including advice from other users or experts in public areas) is not endorsed or verified by Glowgent. We do not guarantee the accuracy, usefulness, or safety of any User Content. You use information from other users at your own risk. Always exercise good judgment—if someone's post suggests something that seems unsafe (like an extreme diet or exercise), verify with reliable sources or consult a professional before following it.

Reporting IP Violations: If you believe a user is infringing on your copyright or other IP rights by posting content on Glowgent, we have a process in our Data Protection or Copyright Policy (see our site) to handle takedown requests (like DMCA for copyright). 9. Intellectual Property Rights

10. Additional Terms for Business Clients

The following additional terms apply if you are a Business Client or using the Services on behalf of a business or organization (e.g., you are an admin or expert for a branded community on Glowgent):

10.1 Responsibility for End Users

As a Business Client, you may invite or provide access to your community's end users (such as employees, members, patients, or clients). It is your responsibility to ensure that your end users comply with these Glowgent Terms and any of your own internal rules. Key points:

  • End User Compliance: All end users in your community are subject to the same rules (Sections 7, 8, etc.) regarding conduct and content. If one of your community members violates Glowgent's Terms, we may take action against that user (just as we would in the public context), including content removal or account suspension. We generally will coordinate with you (the Business Client admin) in such cases, unless immediate action is needed.
  • Internal Policies: You can establish additional community guidelines specific to your organization (for example, rules about discussing confidential work matters, etc.), provided they do not conflict with Glowgent's Terms. In case of conflict, Glowgent's Terms prevail for matters concerning Glowgent's rights and responsibilities. You are responsible for enforcing any of your internal rules; Glowgent will only enforce our Terms.
  • Moderator Role: We may designate you or your representatives as moderators of your branded community, with abilities to moderate content and manage users in that space. With great power comes great responsibility: use moderation tools fairly and consistently. Glowgent reserves the right to intervene if moderation powers are abused or if, despite your moderation, serious violations occur in your community.

10.2 Professional Qualifications and Compliance

If you (the Business Client) or your team members provide any type of professional service through Glowgent (e.g., medical advice, therapy, coaching, fitness training), you represent and warrant that you and your staff have the necessary qualifications, licenses, and certifications required by law to provide those services. You further agree to comply with all laws and regulations applicable to your field, especially when using Glowgent to deliver services, including:

  • Healthcare Laws: If you are a healthcare provider or clinic using Glowgent with patients, you are responsible for compliance with healthcare privacy laws (such as HIPAA in the U.S.) to the extent applicable. Glowgent is not currently a HIPAA-compliant platform by default, and we do not sign Business Associate Agreements at this stage (unless explicitly arranged). This means you should not use Glowgent for protected health information in a manner that would violate HIPAA or similar laws. Use Glowgent for general wellness and patient engagement, not for storing medical records or sensitive patient identifiers, unless and until we specifically offer a HIPAA-compliant solution.
  • Employment Laws: If you are an employer or HR team using Glowgent for employees, ensure any wellness program you run complies with applicable employment and privacy laws (e.g., laws about employee wellness programs, nondiscrimination, etc.). Glowgent provides the tools, but you must use them in a law-abiding manner.
  • Consent and Data Use: If you, as a Business Client, input or upload any personal data of individuals into Glowgent (e.g., uploading a roster of employees or inviting patients via their email addresses), you must have the proper authority or consent to do so. You will comply with any privacy obligations to your end users – for example, informing them that you are using Glowgent and what data you will see. Glowgent will treat data of your end users in accordance with our Privacy Policy, but you may have additional obligations to those users (especially if you're their employer or care provider).
  • No Emergency Services: As a Business Client offering wellness services, you acknowledge that Glowgent is not a substitute for emergency services or critical care. You will advise your end users accordingly (for instance, a therapist using Glowgent with clients must instruct clients to call emergency numbers in a crisis, not rely on Glowgent).

10.3 Fees, Commissions and Payouts

Business Clients are subject to the fees and commission structure described in Section 5.2. By using the monetization features:

  • Commission Agreement: You agree that Glowgent will deduct the specified commission (15%) from payments made by any end user or participant for services you or your experts sell through the platform. Glowgent may adjust the commission rate in the future as part of a pricing change (with notice per Section 5.3), but it will not be higher than 15% for any services you already sold at a given price without your consent.
  • Pricing of Your Services: You are free to set the prices for any paid sessions or programs you offer via Glowgent, subject to any platform guidelines (we might have certain minimums or maximums, or suggestions). You shall not engage in price gouging or exploitative pricing on the platform. Glowgent does not guarantee any minimum sales or attendance; that is up to your offering and user interest.
  • Payouts: In order to receive payouts of your earnings (the 85% after commission), you'll need to provide necessary payout information (such as bank details or setup an account with our payment processor). Payouts will be made in a timely manner as per the processor's normal schedule (we aim for within 30 days or less of the original transaction, often much sooner). Glowgent may hold payouts if there is a dispute, chargeback, or suspected fraud until resolved. If a user is refunded for a session you provided, Glowgent will deduct the refunded amount from your earnings (and correspondingly, not charge commission on that refunded portion or reverse it). We will provide you with reports of transactions in your admin dashboard.
  • Taxes: You are responsible for reporting and paying any taxes owed on income earned through Glowgent in your jurisdiction. Glowgent's fees do not include your taxes. We might collect tax information (like a W-9 for US entities or other tax forms) from you if required by law to issue you tax forms for the earnings.

10.4 Relationship and Liability

  • Independent Providers: When you use Glowgent to interact with or provide services to end users, you understand that you are doing so as an independent party. Neither you nor Glowgent intends to form any agency, partnership, or employment relationship. You are not an agent or representative of Glowgent, and you cannot make commitments on our behalf. Conversely, Glowgent is simply providing a platform and is not a co-provider of your services. Your relationship with the end users you serve is your own (for example, if you are a coach, the coach-client relationship is between you and the client, even if facilitated via Glowgent).
  • Liability to End Users: You agree that you (and not Glowgent) are solely responsible for the content of any advice or services you provide to your end users via Glowgent. If an end user has a dispute or claim based on the service you provided (for example, a client alleges your advice caused harm), you will address that claim directly. Glowgent is not responsible for the quality or outcomes of the services that you or your staff provide. You agree to indemnify Glowgent for any claims arising from your or your end users' use of the platform in connection with your business (see Section 14).
  • Compliance with Glowgent Policies: You will follow any additional policies Glowgent provides for business use, such as branding guidelines (for using Glowgent's name or indicating "Powered by Glowgent" in your materials, if applicable), community moderation best practices, or any beta testing agreements if you're trying new enterprise features.

If you have a separate written agreement with Glowgent (such as an Enterprise Agreement or an Order Form), those terms will supplement or supersede these Terms where explicitly stated. Otherwise, these Terms govern the relationship. We value our Business Clients and aim to provide a reliable platform for you; in turn we rely on you to use it ethically and in line with both the law and Glowgent's values of wellness and inclusion.
